Key Responsibilities
• Independently lead and manage sophisticated corporate and transactional matters from structuring through closing
• Draft, review, and negotiate a broad range of business and corporate documents, including:
o Engagement letters
o Operating, shareholder, and partnership agreements
o Asset and equity purchase agreements
o Commercial, vendor, and service contracts
o Corporate governance and compliance documents
• Serve as a trusted advisor to business owners and executives, providing clear, practical, and business focused legal guidance
• Structure and execute business transactions, including entity formations, reorganizations, mergers, acquisitions, and strategic contracts
• Identify legal and business risks and guide clients through regulatory, compliance, and conflict considerations
• Conduct and oversee legal research relevant to corporate, commercial, and transactional matters
• Stay current on federal and North Carolina business law developments affecting clients
• Collaborate closely with partners, associates, and staff on client matters and transactions
• Mentor junior attorneys through guidance on drafting, deal execution, and client service
• Support business development by strengthening client relationships and contributing to the firm’s reputation and community presence
Qualifications and Skills
• Active North Carolina law license, in good standing
• Significant law firm experience in business, corporate, or transactional practice
• Demonstrated ability to independently manage and close complex business transactions
• Strong drafting and negotiation skills across a wide range of corporate and commercial agreements
• Sound legal judgment with a practical, solutions-oriented mindset
• Excellent written and verbal communication skills, particularly in client-facing roles
• Proven ability to manage multiple matters efficiently in a fast-paced environment
• Strong client service orientation with a relationship driven approach
• Ability to work independently while collaborating within a close-knit boutique firm
• Proficiency with Microsoft Office and legal practice management systems
